Terms of Service

By accessing or using the services provided by Arko Talent LLC ("Arko," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

Arko provides staffing and talent acquisition services, operating as a Contractor of Record (COR) for companies seeking to build remote teams with professionals based in Latin America. Our services include:

• Managed Teams — ongoing staff augmentation with full payroll, compliance, and HR management
• Direct Placement — executive search and headhunting for permanent hires
• Arko TXP — our proprietary talent vetting and assessment platform

As a client, you agree to:

• Provide accurate information about your hiring needs and team requirements
• Maintain direct daily management of team members placed through our services
• Pay all invoices in accordance with the agreed payment terms
• Not directly hire or contract with Arko-placed talent outside of our agreement during the engagement period and for 12 months following termination

As a candidate in our talent pool, you agree to:

• Provide accurate and complete information about your skills, experience, and qualifications
• Complete all required assessments and vetting procedures honestly
• Maintain the confidentiality of client information as outlined in your NDA
• Operate within the security and access protocols established for each engagement

Arko provides a 60-day replacement guarantee on all placements. If a team member does not meet the agreed performance standards within the first 60 days, Arko will initiate a priority search to deploy a qualified replacement at no additional cost to the client.

For Managed Teams engagements, clients receive a single monthly B2B invoice in USD. Payment is due within 15 business days of invoice date. For Direct Placement engagements, success fees are invoiced upon candidate acceptance and are due within 30 business days.

All work product created by Arko-placed talent during their engagement is the exclusive property of the client. Intellectual property assignments are executed under Delaware-governed agreements and are included as part of our standard engagement framework.

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. All talent placed through Arko operates under standard NDA agreements governed under US jurisdiction.

Arko's total liability under any engagement shall not exceed the fees paid by the client during the 12-month period preceding the claim. Arko is not liable for indirect, consequential, or punitive damages.

For Managed Teams, either party may terminate with 30 days written notice. For Direct Placement, the engagement concludes upon successful placement or mutual termination. The non-solicitation clause survives termination for 12 months.

These Terms are governed by the laws of the State of Delaware, United States. Any disputes arising from these terms shall be resolved through binding arbitration in the State of Delaware.
